These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” “the user”) and CodaTools (“we,” “us,” “our”) regarding your use of the CodaTools platform (“Service”). These Terms govern all access to and use of the platform and its features, including but not limited to student inventory, communication tools, calendar functionality, and administrative management utilities.

1. Acceptance of Terms

By registering for an account, accessing, or using CodaTools, you affirm that you have read, understood, and agree to be bound by these Terms. If you are accessing or using the Service on behalf of a school, district, or educational organization, you represent that you are authorized to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Eligibility and User Access

CodaTools is designed for use by educational institutions and their authorized personnel. Only verified staff members may create accounts and manage data. Students and parents are not permitted to create accounts, submit data, or access administrative features.

Limited access to public or token-protected pages (e.g., event signups or self-view pages) may be made available to parents and students for convenience, but such access does not require or allow authentication.

3. Subscription and Payment Terms

New accounts receive a free 30-day trial with full access to the platform. After the trial period, continued use requires an active paid subscription. Subscription options include monthly and annual plans and are available to individual educators or entire institutions.

All charges are billed electronically via the method selected during registration. Failure to maintain an active subscription may result in suspension or loss of access to features or data. Refunds are not issued except in rare cases and are evaluated solely at our discretion.

4. Acceptable Use Policy

You agree to use the Service exclusively for lawful and educational purposes in accordance with all applicable local, state, and federal laws. You shall not:

• Access or attempt to access data or accounts without authorization
• Use the platform to store or distribute unlawful, harmful, or abusive content
• Introduce malware, phishing attempts, or denial-of-service attacks
• Use the platform in a way that interferes with its stability or the experience of other users
• Share login credentials or permit unauthorized individuals to access the system

5. User-Generated Content and Data Ownership

Schools and their users retain ownership of all data and content entered into the platform, including but not limited to student records, inventory details, documents, and uploaded files. CodaTools does not claim ownership over this content.

By submitting content to the Service, you grant us a limited, non-exclusive license to store, process, and display the data only for the purposes of providing the Service to you. You are solely responsible for the accuracy, legality, and intellectual property rights of any content you upload.

6. Notifications and Communication

CodaTools may send you service-related communications via email or in-app notifications. These communications may include billing notices, system alerts, feature announcements, and event reminders. Some notifications are mandatory and cannot be opted out of.

CodaTools does not use SMS or text messaging at this time. We do not send promotional content to users or students.

7. Privacy and Student Data Protection

CodaTools is committed to protecting student data and complying with applicable privacy laws including COPPA and FERPA. The Service does not collect personal information directly from children under 13. All student data must be submitted by authorized school personnel.

8. Support and Account Closure

Support is available to all paying users via email. We strive to resolve issues in a timely manner and value feedback that improves the platform.

If you wish to cancel or close your account, please contact our support team. Only an administrator at CodaTools can process account deletions. Self-service deletion is not currently supported.

9. Platform Ownership and IP

All components of the CodaTools platform, including software, interface designs, logos, and trademarks, are owned by CodaTools or its licensors. You may not copy, modify, distribute, reverse-engineer, or exploit any part of the platform without express written permission.

10. Disclaimers and Limitation of Liability

The Service is provided “as is” without warranties of any kind, express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or free of security vulnerabilities.

To the fullest extent permitted by law, CodaTools shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or use, arising out of or in connection with your use of the Service.

11. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service will be resolved through binding individual arbitration administered by the American Arbitration Association.

You agree to waive the right to a trial by jury and to participate in class actions or class-wide arbitration. This section survives termination of your account.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

13. Updates to These Terms

We may revise these Terms periodically. If changes are material, we will notify users by email and/or through prominent in-app messaging. The updated Terms will take effect immediately upon posting.
